SimpLease is a software-as-a-service platform that uses AI and other tools to assist business tenants in reviewing commercial leases and annual operating expense / CAM / tax reconciliation statements. 2.2 No Professional Services. The Service provides automated assistance, analysis, and draft content only. SimpLease does not provide legal, tax, accounting, financial, or other professional advisory services. See our Disclaimer for more details. 2.3 Service Changes. We may modify, enhance, or discontinue features of the Service at any time, with or without notice, provided such changes do not materially reduce core functionality for which you have already paid during the current billing period. 3. Your Use of the Service 3.1 Permitted Use. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. 3.2 Prohibited Use. You agree not to: Use the Service in violation of any applicable law or regulation Use the Service to provide legal, tax, accounting, or financial advice to others without appropriate professional qualifications and compliance Reverse engineer, decompile, or attempt to extract source code or underlying models Interfere with or disrupt the Service, or attempt to gain unauthorized access to our systems Upload or submit content that is illegal, defamatory, infringing, harmful, or otherwise objectionable 3.3 Compliance. You are responsible for ensuring that your use of the Service complies with all applicable laws, including data protection and privacy laws, in each jurisdiction where you or your data subjects are located. Document Uploads and User Content 4.1 User Content. “User Content” means any leases, reconciliation statements, other documents, data, or information that you upload or otherwise submit to the Service. 4.2 Responsibility. You are solely responsible for the accuracy, quality, and legality of User Content and for obtaining all necessary rights, consents, and permissions to upload and use such content with the Service. 4.3 License to SimpLease. You grant SimpLease a non-exclusive, worldwide, royalty-free license to host, process, use, reproduce, and display User Content solely: To provide and operate the Service To maintain and improve the Service (for example, for debugging, quality assurance, or system training, if permitted by applicable law and your agreement) To comply with law or enforce our legal rights We will not sell your User Content to third parties. 4.4 Third-Party AI Providers. To provide the Service, we may send portions of your User Content to third-party AI providers (such as Google, OpenAI, or others) as processors acting on our behalf. AI-Generated Outputs 5.1 Outputs. The Service may generate analyses, tables, summaries, draft emails, or other content (“Outputs”) based on your User Content and our models. 5.2 Ownership of Outputs. As between you and us, and subject to these Terms and applicable law, we assign to you any rights we may have in the Outputs generated specifically for you, solely for your internal business use. You are responsible for reviewing and validating all Outputs. 5.3 No Warranties. Outputs may be inaccurate, incomplete, or misleading. You should not rely on Outputs as a substitute for professional advice. SimpLease makes no warranty that any Output is correct, complete, or suitable for your particular situation. 6. Fees, Billing, and Refunds 6.1 Fees. Certain features of the Service (such as individual analyses) require payment of fees (“Fees”). Fees, pricing, and included features are described on our website or in an applicable order or offer. 6.2 Payments. Payments are processed via third-party payment processors (such as Stripe). You authorize the processor to charge your payment method for all applicable Fees and taxes. We do not store full payment card details on our own servers. 6.3 Taxes. Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you are responsible for payment of such taxes (other than taxes based on our income). 6.4 Refunds. Limitation of Liability To the maximum extent permitted by law: SimpLease will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount of Fees actually paid by you to us in the three (3) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations of liability; in such cases, the above limitations apply to the fullest extent permitted by law. 11. Indemnification You agree to indemnify, defend, and hold harmless SimpLease and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: Your use of the Service Your User Content Your violation of these Terms or any applicable law Your violation of any third-party right 12. Term and Termination 12.1 Term. These Terms apply from your first use of the Service and continue until terminated by you or us. 12.2 Your Termination. You may stop using the Service at any time. If you wish to delete your account, please contact us or use any self-service options provided. 12.3 Our Termination. We may suspend or terminate your access to the Service immediately, with or without notice, if we believe you have violated these Terms, misused the Service, or created risk or legal exposure for us or others. 12.4 Effect of Termination. Upon termination, your right to use the Service ceases. Certain provisions that by their nature should survive (such as ownership, limitations of liability, warranties, and indemnities) will continue to apply. 13. Governing Law and Dispute Resolution These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any disputes will be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, unless applicable law requires otherwise. 14.
